Terms of Service
The terms that govern your use of PropertyMeasure.
Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent, "Customer" or "you") and PropertyMeasure Inc., a Delaware corporation ("PropertyMeasure," "we," "us"). By accessing or using our website, applications, and services (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Definitions
- "Service" — PropertyMeasure's website, applications, and measurement, estimating, and proposal tools.
- "Credits" — the prepaid units used to access certain features (e.g., self-measured properties).
- "Customer Data" — property addresses, measurements, layers, estimates, proposals, and other content you submit or create.
- "Account" — your registered access to the Service.
Eligibility & Accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity under your Account. Notify us promptly of any unauthorized use.
The Service
PropertyMeasure provides self-service tools to measure properties from aerial imagery and uploaded blueprints, calculate quantities and costs, and produce estimates and proposals. You are responsible for how you use the outputs. Features, imagery, and data sources may change over time.
Credits, Fees & Payment
- Certain features are accessed using Credits or paid plans. Prices are shown in the Service and are stated in U.S. dollars unless noted.
- Payments are processed by Stripe. You authorize us (via Stripe) to charge your selected payment method for your purchases.
- Applicable taxes may be added at checkout based on your billing information.
- Except as required by law or expressly stated, purchases and Credits are non-refundable, and Credits may expire as described in the Service.
- We may change prices prospectively; changes apply to future purchases or renewals with reasonable notice.
Measurement Accuracy — Important
Measurements, areas, quantities, and cost estimates produced by the Service are ESTIMATES generated from third-party imagery and data and from your own inputs. They may contain errors and are provided for planning purposes only. You are solely responsible for verifying measurements and estimates (including by field verification where appropriate) before relying on them, submitting bids, or entering contracts. PropertyMeasure is not responsible for decisions made based on Service outputs.
Acceptable Use
You agree not to:
- Use the Service unlawfully or in violation of these Terms or third-party rights.
- Reverse engineer, scrape, or attempt to access the Service or data other than as permitted.
- Interfere with or disrupt the Service, or circumvent usage limits, Credits, or security.
- Resell or provide the Service to third parties except as expressly permitted.
- Upload unlawful, infringing, or malicious content.
Customer Data & License
You retain ownership of your Customer Data. You grant us a limited, worldwide license to host, process, and use Customer Data to provide and improve the Service and as described in our Privacy Policy. You represent that you have the rights necessary to submit your Customer Data and to authorize its use.
Intellectual Property
The Service, including its software, design, and content (excluding Customer Data and third-party data), is owned by PropertyMeasure and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription/term, subject to these Terms.
Third-Party Services & Data
The Service relies on third-party providers (including Google/Firebase, Stripe, imagery and parcel-data providers, and geocoders). We do not control and are not responsible for third-party services or data, and their availability and accuracy may vary. Your use of certain features may be subject to those providers' terms.
Term & Termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or as needed to protect the Service or comply with law. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.
Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MEASUREMENTS OR ESTIMATES WILL BE ACCURATE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYMEASURE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You will defend, indemnify, and hold harmless PropertyMeasure from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.
Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes to These Terms
We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Your continued use of the Service after changes take effect constitutes acceptance.
